Terms and Conditions
Effective October 1, 2026
These terms govern your purchase and use of the spreadsheet workbooks and related materials sold by AgentLedger LLC ("AgentLedger," "we," "us"), a Florida limited liability company. By purchasing or using a workbook, you agree to them.
1. What you are buying
You are buying a licensed copy of a spreadsheet workbook for one tax year. Each purchase includes the workbook in two editions — a Microsoft Excel edition and a Google Sheets edition. Current-year profession trackers also include your choice of color theme and the Personal Income & Expense Tracker at no additional charge. Prior-year editions are supplied in the Classic Navy & Teal theme and do not include the Personal tracker.
Workbooks are delivered as email attachments, usually within a few minutes of your order being paid. A standard order arrives as four files: your tracker and the Personal tracker, each in both editions. They are not streamed, hosted or accessed through an account. Once delivered, the files are on your device and remain usable whether or not this website continues to exist.
2. Your license
Each workbook is licensed, not sold. Your license is personal to you and to the one business named at checkout, and it is stamped into the file: your name, your email address, your business name if you gave one, and an order reference appear on every tab.
You may:
- Use the workbook for as long as you like, on as many of your own devices as you like.
- Modify it for your own use — add rows, rename categories, change what suits you.
- Share a copy with your accountant, bookkeeper or tax preparer for the purpose of preparing your return.
- Export, print, or email the contents wherever you need them.
You may not:
- Resell, sublicense, rent, or redistribute the workbook, whether modified or not.
- Publish it, upload it to a file-sharing or template site, or otherwise make it available to people who have not bought it.
- Remove, obscure or alter the license information stamped on the tabs.
- Use one license across more than one business. The IRS requires a separate Schedule C for each business, and each business needs its own licensed workbook.
3. Office licenses
An office license covers a firm's own staff. It is bought by setting the seat count at checkout, is licensed to the firm named at checkout, and the seat count is stamped into the file. The firm may distribute the workbook internally to that number of people. It may not be given to anyone outside the firm, and the seat count may not be exceeded.
An office license covers one tax-year edition and does not renew automatically. Seats cannot be added to an existing license; a firm that needs more seats places a new order at the higher count.
4. Custom workbooks
A custom workbook is built to order: changes to an existing tracker, a firm's branding, a new profession, or new calculations. Custom work is arranged by email and is not sold through the checkout.
Quote and approval. Before any work begins, we send a written quote stating the scope, the deliverables, the price, the estimated delivery date, and anything not included. Work begins only after you approve the quote by email. Anything not in the approved quote is not part of the job, including anything discussed by phone or in person.
Payment. Unless your quote states otherwise, the full price is due before work begins. For larger jobs, the quote may instead require 50% before work begins and the balance before delivery.
Revisions. Each custom job includes one round of revisions, requested within 14 days of delivery and within the approved scope. Requests outside the approved scope, or after the revision round, are change requests and are quoted separately.
Defects. If the delivered workbook does not do what the approved quote describes, we will fix it at no charge. A change of mind, or a new requirement, is not a defect.
Acceptance. The work is accepted when the revision round is complete, or 14 days after delivery if no revisions are requested, whichever comes first. Defects remain covered after acceptance.
No refunds once work begins. Custom work is not refundable once work has begun. If you cancel before work begins, your payment is returned in full.
Your materials. If you supply a logo, name or other materials, you confirm you have the right to use them and permit us to use them solely to build your workbook. We will not use your branding for anyone else.
License and our tools. A custom workbook is licensed to the business named in the quote under section 2, with the permissions stated in the quote. AgentLedger keeps ownership of the underlying workbook design, formulas and structure, and may use general improvements — not your branding or confidential information — in its standard products.
Later tax years. A custom workbook is built for the tax year stated in the quote. A version for a later year is new work and is quoted separately unless the quote says otherwise.
Dates. Delivery dates in a quote are good-faith estimates. We will tell you promptly if a date is going to move.
5. Tax-year editions and updates
IRS mileage rates, tax brackets and rules change every year, so each tax year has its own edition of each workbook. Each tax-year edition is a separate purchase — your license does not include automatic or free access to any other tax-year edition. Individual purchases never renew automatically.
AgentLedger workbooks may be updated throughout the year — categories, formulas, design, and included tools may be revised, corrected, or improved at AgentLedger's discretion, without prior notice. Those updates do not entitle purchasers of an earlier copy to receive an updated workbook, free or otherwise. Your copy reflects the product as it existed at the time of your purchase and remains fully functional as-is.
The edition you buy is yours to keep and use indefinitely. It does not expire and does not stop working. It is built for the tax year printed on it, and we do not warrant that its rates or calculations remain accurate for other years.
6. Protected cells and passwords
In the Excel edition, calculated cells are locked so that a stray keystroke cannot quietly break a formula. You never need a password for normal use; the cells you are meant to type in are unlocked and color-coded. We do not supply the protection password, and removing or circumventing the protection is not supported — if you do, we cannot help you recover the file.
The Google Sheets edition is not protected. Google Sheets does not enforce Excel-style cell protection, so shipping a "protected" file there would be protection in name only.
7. Delivery and your email address
Because we deliver by email, your email address has to be correct and able to receive attachments of roughly 200 KB. If our email does not arrive, check your spam or promotions folder first, then contact us and we will resend. See the Refund Policy for what happens if delivery fails.
8. Pricing and promotional codes
Prices are in US dollars and may change at any time; the price shown at checkout is the price you pay. Promotional codes, when offered, have their own terms and expiry dates, apply only while active, and do not apply to office licenses.
9. This is not tax, legal or financial advice
AgentLedger sells organizational tools. It does not provide tax, accounting, legal or financial advice, and using our workbooks does not create any professional or advisory relationship between you and us.
The founder of AgentLedger is a licensed Life and Health insurance agent. He is not a Certified Public Accountant, an enrolled agent, or an attorney, and nothing sold or written here should be read as coming from one.
The categories, calculations, rates and Schedule C mappings in the workbooks are provided for general informational purposes and reflect our understanding at the time the edition was built. Tax law is complex, changes frequently, and applies differently to different circumstances. Whether any particular expense is deductible in your situation is a question only a qualified professional who knows your circumstances can answer.
You are responsible for the accuracy of everything you enter and for everything you file. We strongly recommend you review your figures with a CPA, enrolled agent or other qualified tax professional before filing. We are not responsible for any tax position you take, any return you file, or any penalty, interest or assessment that results.
10. What our support can and cannot do
We are glad to help with anything to do with the workbook itself — getting the file open, finding a tab, fixing a formula you have typed over, resending a lost download, or explaining what a category is for.
We cannot tell you whether a particular expense is deductible in your situation, how to complete your return, or what tax position to take. Those questions belong with a CPA, an enrolled agent, or another qualified tax professional. If you ask us one, we will say so rather than guess.
11. No warranty and limitation of liability
The workbooks are provided "as is." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the workbooks are free of errors, or that their calculations will suit every circumstance.
To the fullest extent permitted by law, our total liability arising out of or relating to the workbooks or these terms will not exceed the amount you actually paid for the workbook or license giving rise to the claim. We will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, or tax penalties or interest, even if we have been advised of the possibility.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Governing law
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Broward County, Florida, and you and we each consent to that jurisdiction.
13. Changes
We may update these terms. The version in force when you bought is the version that governs that purchase. Material changes will be posted here with a revised effective date.
